Pursuant to the provisions of Company Law no. 31/1990, as republished and amended, Law no. 137/2002 regarding certain measures for acceleration of the privatization process, as amended, as well as article 3.6 under the Appendix to Order no. 1572/02.03.2007 issued by the Ministry of Economy and Commerce, Government Resolution no. 577/2002 approving Methodological Norms for the application of Government Emergency Ordinance no. 88/1997 regarding the privatization of companies, as amended, S.C. Complexul Energetic Craiova S.A. (“the Company” or CEN), with its headquarters in Craiova, 147, Unirii street, Dolj County, postal code 200330, Romania, announces the sale of the “Tender Specifications” for the project Setting up of a new 500 MW power plant unit at S.C. Complexul Energetic Craiova S.A., Electrocentrale Isalnita Branch, (hereinafter referred to as „The Project”).
Thus, a selection is to be made of an Investor or Investors to participate in the setting up of a new power generation unit through the creation of an IPP company („Joint Venture”). The new entity will be a joint stock company (according to Company Law no. 31/1990, as republished and amended).
The contributions to the share capital of the Joint Venture will be as follows:
- The Investor will hold the majority share package and will bring a contribution in cash representing at least 30% of the total necessary capital for the Project;
- The Company will bring a contribution in kind consisting of its available assets which will be valuated by a certified valuator (from the ANEVAR’s list of valuators), agreed together with the Investor, as well as capital contributions necessary for bringing the assets in line with the Project requirements.
The investor will ensure the remaining funds necessary for the Project by contracting loans on behalf of the Joint Venture, under favourable conditions, but without any guarantee of the Romanian State. The Company can also participate in the Joint Venture with other contributions, as described in the Tender Specifications.
On 2 April 2009, the Executive Management of the Company launched a notice of interest regarding the “Setting up of a new 500 MW power plant unit at S.C. Complexul Energetic Craiova S.A., Electrocentrale Isalnita Branch”. The notice of interest was intended to draw the attention of potential economic operators interested in the Project to submit a nonbinding Letter of interest. Following the publication of the notice of interest, letters of interest have been submitted by the following companies:
 AES Electric SRL - 37-39 Kew Foot Road. Richmond, Surrey TW9 255, Great Britain;
Edison Spa - Foro Buonaparte, 31, 20121 Milan, Italy;
CEZ a. s. - Duhova 2/1444, 140 53 Praga 4, Czech Republic.
Further to meetings and discussions held with the abovementioned economic operators, the Negotiation Committee has finalized the Tender Specifications. The Tender Specifications describe the procedures and requirements on the basis of which the interested economic operators will be able to decide whether to participate in the selection procedure and submit offers.
All the firms interested in participating in the tender for the selection of Investor/Investors for the development of the proposed 500 MW lignite-based power plant unit are invited to submit the following documentation at the CEN headquarters, within 15 days after the publication of this public announcement of sale:
i. Annual Report and financial statements for the last three years (2006, 2007, 2008);
The minimum qualification criteria regarding the financial data are the following:
· Annual turnover must be at least 15,000 million RON for the last three years. For further reference, the BNR exchange rates for the end of each year will be used.
· Current Ratio, computed as Current assets/Current liabilities on the basis of the figures from the financial statements, must be at least 0.8 for the last two years.
ii. Brief description of experience in similar projects;
The minimum qualification criterion regarding the experience in similar projects is that the economic operator must have participated in the construction and/or operation of a coal fired power plant unit with an installed capacity of at least 400 MW.
If the three abovementioned economic operators wish to purchase the Tender Specifications, taking into consideration that they have already provided CEN with the information under items i-ii above, they will send to CEN only the information/documents that would bring new information, additional to that which has already been submitted.
On the basis of the documents received, CEN will perform a preliminary selection and will announce the economic operators who, according to the evaluation criteria of this phase, can purchase the Tender Specifications. CEN will perform this selection and will inform the possible buyers until 31.12.2009.
Between 05.01.2010 and 15.01.2010, the economic operators notified by CEN can purchase the Tender Specifications.
Only the economic operators who will buy the Tender Specifications in the abovementioned period can participate in the next selection phase, i.e., submission of nonbinding Offers.
Along with purchasing the Tender Specifications, the interested economic operators will sign the Confidentiality Agreements which provide limitations in using the information they obtained during the selection procedure and after its completion.
The tender specifications will be delivered to the interested economic operators on the basis of the following documents:
a. Identity bulletin/identity card/passport of the individual who collects the Tender Specifications;
b. Authenticated Power of attorney granted to the individual who will collect the Tender Specifications and sign the Confidentiality Agreement on behalf of the interested economic operator; powers of attorney issued abroad shall be apostilled/over-legalized, if applicable;
c. Receipt proving the payment of the price for the Tender Specifications;
d. Signed Confidentiality Agreement.
The economic operators selected for purchasing the Tender Specifications (to the extent that they buy this document) can participate in the subsequent selection phase, that is the Submission of Nonbinding Offers. The deadline for submitting these offers is 01.03.2010. The location for submitting these offers is the headquarters of S.C. Complexul Energetic Craiova S.A., 147, Unirii Street, Craiova, Dolj County, postal code 200330, Romania.
Details referring to the Nonbinding Offers, as well as other aspects of the selection procedure (deadlines, substance and form requirements, etc) are broadly presented in the Tender Specifications.
The sale price of the Tender Specifications issued by S.C. Complexul Energetic Craiova S.A. is EUR 7,500 and can be purchased from the headquarters of the company at 147, Unirii Street, Craiova, Dolj County, postal code 200330, Romania, during working days within the abovementioned timeframe between 9:00 and 16:00 hours
Resident economic operators who are interested in purchasing the Tender Specifications, will make the payment in RON at the RON/EUR exchange rate of the National Romanian Bank applicable on the day prior to making such payment.
Payment shall be made in the Company’s bank accounts opened with the Romanian Commercial Bank (BCR) Craiova, with the following coordinates:
